GLADDY TERMS OF SERVICE AGREEMENT

  1. INTRODUCTION & AGREEMENT SCOPE

This Terms of Service Agreement ("Terms", "Agreement") is a legally binding contract between you ("User", "you") and Gladdy Inc Ltd. ("Gladdy", "we", "us", "our"), governing your access to and use of Gladdy’s websites, mobile applications, progressive web apps, marketplaces, delivery networks, and associated features (collectively, the "Platform"). By creating an account, placing an order, registering as a vendor or driver, or using any part of the Platform, you acknowledge that you have read, understood, and agreed to these Terms and our incorporated policies (including our Privacy Policy, Refund & Cancellation Policy, Vendor Policies, and Driver Policies). If you do not agree, you must cease using the Platform immediately.

  1. PLATFORM ROLE & ACCOUNT ELIGIBILITY

Platform Operations: Gladdy operates a technology platform facilitating commerce, payment collection, logistics, marketing, and fulfillment between independent vendors, third-party delivery drivers, and customers. Unless explicitly stated, Gladdy does not directly manufacture or own the products listed on the marketplace; product quality, legality, and warranty compliance remain the responsibility of the listing vendor.

Eligibility & Security: You must be at least 18 years old (or have authorized parental consent) to use the Platform. You are responsible for maintaining accurate account details and keeping your login credentials secure. You must not impersonate others, create false accounts, share accounts, or engage in unauthorized access. Gladdy reserves the right to suspend or terminate accounts that present security risks, contain fraudulent details, or breach these Terms.

  1. MARKETPLACE ORDERS, PRICING, & PAYMENTS

Listings & Orders: Marketplace descriptions, pricing, inventory, and estimated delivery windows are provided for convenience; Gladdy and vendors reserve the right to correct typographical errors, remove listings, or cancel orders prior to fulfillment due to stock unavailability, pricing inaccuracies, delivery constraints, or suspected fraud.

Pricing & Currency: Prices are listed in Sierra Leonean Leones (SLE) or other supported currencies. Total checkout amounts will include product costs, applicable delivery charges, service fees, and taxes prior to payment.

Payment Processing: Payments are facilitated through authorized third-party electronic payment providers (e.g., mobile money, card processors, bank transfers). You authorize Gladdy and its payment partners to charge your designated payment method for authorized transactions. Fraudulent transactions, unauthorized chargebacks, and payment exploitation are strictly prohibited and subject to account termination and legal reporting.

  1. FULFILLMENT, DELIVERY, & ADDRESSING CONDITIONS

Logistics & Delivery: Delivery estimates provided on the Platform are non-guaranteed approximations subject to variable factors including traffic, weather, security conditions, and vendor preparation times.

Addressing Requirements: Given regional addressing variations, customers must provide sufficient location detail (e.g., landmarks, neighborhoods, contact numbers, map pins, or verbal directions) to complete delivery. If an order cannot be delivered due to inaccurate or insufficient address information provided by the customer, additional re-delivery fees may apply, or the order may be cancelled without a full refund.

Driver Conduct & Standards: Delivery drivers operate as independent partners or logistics employees. Drivers must comply with local transportation laws, maintain proper licenses, respect package integrity, and adhere to safety standards. Unauthorized opening, tampering, or interference with customer packages is strictly forbidden.

  1. CANCELLATIONS, REFUNDS, & CONSUMER RIGHTS

Refund Policy: Cancellations, returns, and refund requests are evaluated under Gladdy’s Refund and Cancellation Policy, taking into account product condition, evidence provided (such as photos or delivery records), item perishability, and custom specifications. Certain items (perishable food, hygiene items, customized goods) may be exempt from standard returns where permitted by law.

Statutory Compliance: Nothing in these Terms overrides mandatory statutory rights provided to consumers under applicable law, including the Consumer Protection Act 2020 of Sierra Leone. In the event of a conflict between these Terms and non-waivable statutory rights, local statutory protections shall prevail.

  1. PROHIBITED USES, USER CONDUCT, & REVIEWS

Restricted Goods & Cyber Rules: Users, vendors, and drivers are prohibited from using Gladdy to facilitate illegal transactions, counterfeit goods, stolen items, prohibited weapons, fraud, money laundering, harassment, or data scraping. Platform misuse, denial-of-service attacks, malware insertion, and unauthorized system access are strictly prohibited in compliance with the Cyber Security and Crime Act 2021.

Reviews & Platform Trust: Ratings, reviews, and trust scores must reflect genuine transaction experiences. Fabricating reviews, manipulating rating systems, extorting vendors/customers via reviews, or engaging in coordinated deceptive feedback is prohibited. Gladdy reserves the right to audit, modify, or remove fraudulent feedback.

  1. INTELLECTUAL PROPERTY & USER CONTENT

Gladdy IP: All source code, application designs, software, logos, trademarks, data systems, and brand assets are the exclusive intellectual property of Gladdy Inc Ltd. or its licensors. You may not copy, reverse-engineer, modify, or exploit Gladdy's intellectual property without written consent.

User Content License: By submitting product photos, descriptions, reviews, or promotional media ("User Content"), you grant Gladdy a non-exclusive, worldwide, royalty-free license to host, display, adapt, and distribute the content solely for operating, marketing, and improving the Platform. You represent that you hold the legal rights to any content you upload.

  1. LIABILITY, DISCLAIMERS, & INDEMNIFICATION

Disclaimers: To the maximum extent permitted by law, the Platform is provided on an "as-is" and "as-available" basis. Gladdy does not warrant uninterrupted uptime, completely error-free software, or flawless vendor/driver performance.

Limitation of Liability: Gladdy will not be held liable for indirect, incidental, consequential, or punitive damages arising from platform downtime, third-party service outages, or user disputes, except where such liability cannot be lawfully excluded under Sierra Leone law.

Indemnification: You agree to indemnify, defend, and hold harmless Gladdy Inc Ltd., its directors, employees, and agents from any third-party claims, liabilities, damages, or legal fees resulting from your breach of these Terms, unlawful conduct, or violation of third-party rights.

  1. DISPUTE RESOLUTION, GOVERNING LAW, & FORCE MAJEURE

Informal Resolution & Governing Law: Users agree to attempt informal resolution of disputes through Gladdy Customer Support prior to formal legal action. These Terms are governed by and construed in accordance with the laws of the Republic of Sierra Leone, and disputes are subject to the jurisdiction of Sierra Leonean courts.

Force Majeure: Gladdy is not liable for operational delays or service failures caused by acts of God, severe weather, civil unrest, power grid disruptions, telecommunication outages, or other extraordinary events beyond reasonable control.

  1. GENERAL PROVISIONS, UPDATES, & CONTACT

Modifications & Severability: Gladdy may update these Terms to reflect operational or legal changes, providing reasonable notice via the Platform or email. Continued use of the Platform after updates constitutes acceptance. If any provision is deemed unenforceable, the remaining provisions remain in full effect.

Entire Agreement: These Terms, alongside incorporated platform policies, constitute the complete agreement between you and Gladdy concerning Platform usage.
